Terms of Service
These Terms of Service (“Terms”) are an agreement between you and Nelly Visions LLC, a Florida limited liability company doing business as Nelai (“Nelai,” “we,” “us”). They cover our website, our demo line, and the Nelai AI receptionist service (the “Service”). By signing up, paying, or using the Service, you agree to these Terms. If you are signing up for a business, you confirm you have authority to bind that business, and “you” means that business.
The short version: Nelai is an AI receptionist that answers calls, books appointments and sends you lead details. It’s month to month and you can cancel anytime. It’s software, so it can make mistakes; it is not an emergency service. You are responsible for following the laws that apply to your business and your calls. Please read the full Terms below.
1. The Service
Nelai provides an AI voice receptionist that can answer calls forwarded to it, respond to callers using information you provide, collect caller details, book appointments on a connected calendar, and send you call summaries and lead alerts by text or email. Features may vary by plan and may change as we improve the Service.
We set up and configure the Service based on the information you give us about your business, including services, hours, pricing, service area and how to handle urgent calls. You are responsible for reviewing that setup and telling us when anything changes.
2. AI limitations, not an emergency service
- AI can make mistakes. The Service uses artificial intelligence and automated speech technology. It may mishear callers, give incomplete or incorrect answers, miss or mis-book appointments, or fail to deliver messages. You should review call summaries and confirm important bookings.
- Not an emergency service. Nelai does not contact 911 or emergency services and is not a substitute for them. Callers with emergencies must call 911.
- Not professional advice. The Service does not give medical, legal, financial or other professional advice. Configure it to take messages and book appointments, not to advise.
- Availability. The Service depends on phone carriers, internet providers and third-party platforms. We aim for 24/7 operation but do not guarantee uninterrupted or error-free service.
3. Plans, billing and the Founding 10 offer
- Standard plan: $350 per month plus a one-time $500 setup fee, unless otherwise agreed in writing.
- Founding 10: for the first ten qualifying clients, the setup fee is waived and the monthly price is $250 for the first 12 billing months, after which it becomes the then-current standard monthly price (currently $350). In return, Founding clients agree to provide a short testimonial once the Service is working for them, if they are satisfied.
- Billing: fees are billed monthly in advance through our payment processor (Stripe). By subscribing, you authorize us to charge your card or bank account on each billing date until you cancel.
- Usage: plans include up to 1,000 call minutes per month for normal business use. If your usage regularly exceeds that, we will contact you to discuss a plan that fits before charging anything extra.
- Setup fee: the setup fee covers configuration work and is non-refundable once setup work begins.
- Price changes: we will give at least 30 days’ notice of any price change. Founding 10 pricing will not change during its first 12 months.
- Failed payments: if a payment fails, we may retry it and may pause the Service until your account is current.
- Taxes: prices do not include any taxes that may apply; you are responsible for them.
4. Cancellation
The Service is month to month with no long-term contract. You can cancel anytime by emailing hello@nelai.us or texting (727) 534-3074. Cancellation takes effect at the end of your current billing period, and you will not be charged again. We do not provide refunds or credits for partial months. You keep your own business phone number; when you cancel, simply turn off call forwarding to Nelai. If we provided you a phone number, we will help you port it out on request within 30 days of cancellation.
5. Your responsibilities
- Accurate information. Provide accurate, current information about your business and keep it updated. You are responsible for what the Service tells callers based on that information.
- Call recording and AI disclosure. Florida law requires the consent of all parties to record a call. The Service plays or speaks a recording disclosure at the start of calls, and you agree not to remove or disable it. You are responsible for any additional notices your industry or location requires.
- Texting and calling laws. You are responsible for complying with the Telephone Consumer Protection Act, the Florida Telephone Solicitation Act and similar laws. You will not use the Service to send marketing texts or make automated or AI outbound calls to anyone who has not given the consent the law requires.
- Health and other sensitive information. The Service is not configured for HIPAA-regulated protected health information unless we have signed a separate Business Associate Agreement with you. Do not configure the Service to collect payment card numbers, Social Security numbers or similar sensitive data by voice.
- Acceptable use. You will not use the Service for anything illegal, deceptive, harassing or harmful, to impersonate anyone, or to interfere with the Service or our providers.
6. Calls, recordings and data
Calls handled by the Service may be recorded, transcribed and summarized so we can deliver the Service, send you lead details and improve quality. You own your business data and your callers’ information. You give us permission to process it to provide and support the Service, and we handle it as described in our Privacy Policy. We use trusted third-party providers (for example, voice AI, telephony, calendar and payment providers) to run the Service.
7. Text messaging
If you or your callers request text messages from Nelai (for example, appointment confirmations or lead alerts), message frequency varies based on your calls. Message and data rates may apply. Reply STOP to stop receiving texts and HELP for help, or contact hello@nelai.us. Carriers are not liable for delayed or undelivered messages. Consent to receive texts is not a condition of any purchase. See our Privacy Policy for how we handle mobile information.
8. Testimonials and publicity
We will only use your business name, logo or testimonial in our marketing with your permission. You can withdraw that permission at any time going forward by emailing us.
9. No guarantee of results
We work hard to help you capture more calls and jobs, but we do not guarantee any particular number of calls, bookings, customers or revenue.
10. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, Nelai and Nelly Visions LLC will not be liable for any lost profits, lost revenue, lost business, missed or incorrect bookings, missed calls, or any indirect, incidental, special, consequential or punitive damages arising from or related to the Service. Our total liability for any claim related to the Service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
12. Indemnification
You agree to defend and indemnify Nelai and Nelly Visions LLC, and its members and agents, against claims, losses and costs (including reasonable attorneys’ fees) arising from your business, the information you provide for the Service, your violation of these Terms, or your violation of any law, including recording, telemarketing and privacy laws.
13. Suspension and termination
We may suspend or end the Service if you don’t pay, if you violate these Terms, or if your use creates legal risk or harms the Service or others. Where reasonable, we will give you notice first and a chance to fix the problem.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Pasco County, Florida, and both parties consent to that venue. Before filing any claim, each party agrees to try to resolve the dispute informally by contacting the other for at least 30 days.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify active clients by email or text at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
16. General
These Terms, together with any written order or agreement we sign with you, are the entire agreement between us about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. You may not assign these Terms without our consent.
